Welcome to Continual Campaign (the "Service"), a SaaS product provided by Laos Holdings, LLC ("we," "us," "our," or the "Company"). By accessing or using our website at https://continualcampaign.com (the "Website") or any related services, you agree to be bound by these Terms and Conditions (the "Terms"). If you do not agree to these Terms, please do not use the Service.

These Terms govern your use of the Service, including account creation, subscriptions, and any interactions with the Website. We may update these Terms from time to time, and your continued use of the Service constitutes acceptance of any changes. It is your responsibility to review these Terms periodically.

1. Description of the Service

Continual Campaign is a software-as-a-service platform that allows registered users ("Account Holders") to create and manage campaigns. Account Holders can subscribe to paid plans, which include access to features such as customizable open URLs where non-registered users ("End Users") can submit their information (e.g., contact details or other data).

• Open URLs: Subscribed Account Holders receive a unique, open URL associated with their account. End Users can access this URL without registering for an account and input their information directly.
• Data Sharing: Information submitted by End Users via an open URL is shared only with the specific Account Holder associated with that URL. However, the Company retains access to all data submitted through the Service for purposes including service provision, maintenance, compliance, and analytics, as further detailed in our Privacy Policy.

The Service is hosted on our servers and provided on an "as-is" and "as-available" basis. We may update, modify, or discontinue features at any time without notice.

2. Eligibility and Account Creation

To use the Service, you must be at least 18 years old or the age of majority in your jurisdiction, whichever is greater. By creating an account, you represent that you meet these requirements.

• Account Registration: To become an Account Holder, you must create an account by providing accurate information, including a valid email address and password. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
• Account Responsibilities: You agree not to share your account with others, use the Service for unlawful purposes, or violate any applicable laws. You must notify us immediately of any unauthorized access to your account.

End Users do not need to create accounts to submit information via open URLs but are still bound by these Terms when interacting with the Service.

3. Subscriptions and Payments

The Service offers paid subscriptions with enhanced features. All subscriptions include a 7-day free trial period, during which you may cancel without charge.

• Free Trial: The 7-day free trial begins upon subscription activation. No payment information is required upfront, but to continue beyond the trial, you must provide valid payment details. If you do not cancel before the trial ends, your subscription will automatically convert to a paid plan, and you will be charged.
• Subscription Plans: Details on plans, features, and pricing are available on the Website. Subscriptions are billed on a recurring basis (e.g., monthly or annually) unless canceled.
• Payments: We use third-party payment processors. By providing payment information, you authorize us to charge the applicable fees. All payments are non-refundable except as required by law or during the free trial period.
• Cancellation: You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing cycle. No refunds will be issued for partial periods.
• Price Changes: We may adjust pricing with notice. Continued use after changes constitutes acceptance.

Taxes, if applicable, are your responsibility.

4. User Data and Privacy

• End User Data: Information submitted by End Users via open URLs is accessible to the associated Account Holder. The Company has access to this data for operational purposes but will not share it with third parties except as required by law, to provide the Service, or as outlined in our Privacy Policy.
• Account Holder Responsibilities: Account Holders are responsible for handling End User data in compliance with applicable laws (e.g., GDPR, CCPA). You must obtain necessary consents from End Users and not use data for unauthorized purposes.
• Data Security: We implement reasonable security measures, but no system is infallible. You use the Service at your own risk.

5. Intellectual Property

All content, software, and materials on the Website and Service (including logos, designs, and code) are owned by or licensed to the Company and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for its intended purpose.

You may not copy, modify, distribute, or reverse-engineer the Service. User-generated content (e.g., campaigns) remains your property, but you grant us a worldwide, royalty-free license to host, display, and use it as needed to provide the Service.

6. Prohibited Conduct

You agree not to:

• Use the Service for illegal, harmful, or abusive activities.
• Upload viruses, malware, or spam.
• Interfere with the Service's operation.
• Collect data without consent.
• Impersonate others or provide false information.

We may suspend or terminate accounts for violations.

7. Disclaimer and Limitation of Liability

The Service is provided "as-is" without warranties of any kind, express or implied, including fitness for a particular purpose or non-infringement. We do not guarantee uninterrupted access, accuracy, or error-free operation.

To the fullest extent permitted by law, the Company, its affiliates, and agents shall not be liable for indirect, incidental, consequential, or punitive damages arising from your use of the Service, even if advised of the possibility. Our total liability shall not exceed the fees paid by you in the preceding 12 months.

8. Indemnification

You agree to indemnify and hold harmless the Company, its officers, directors, employees, and agents from any claims, losses, or damages arising from your use of the Service, violation of these Terms, or infringement of third-party rights.

9. Termination

We may terminate or suspend your account at any time for any reason, including violations of these Terms. Upon termination, your access ends, and we may delete your data. Sections that survive termination (e.g., liability, indemnification) remain in effect.

10. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Arizona, USA, without regard to conflict of laws principles. Any disputes shall be resolved exclusively in the courts located in Maricopa County, Arizona. You waive any objections to venue or jurisdiction.

11. Miscellaneous

• Entire Agreement: These Terms, along with our Privacy Policy, constitute the full agreement.
• Severability: If any provision is invalid, the rest remain enforceable.
• No Waiver: Failure to enforce a right does not waive it.
• Assignment: We may assign these Terms; you may not without our consent.
